1Introductory provisions and definitions

1.1These General Terms and Conditions (the “Terms”) govern the rights and obligations of the Provider and the Customer in connection with the provision of the ZVYQ cloud service.

1.2The Provider is MN DEVELOPMENT s.r.o., with its registered office at Bratislavská 7, 040 11 Košice, Company ID (IČO): 51 403 234, Tax ID (DIČ): 2120705983, VAT ID (IČ DPH): SK2120705983, zapísaná v Obchodnom registri Mestského súdu Košice, oddiel: Sro, vložka č. 43321/V. It operates the Service under the brand Easytrade.sk. Contact e-mail: zvyq@easytrade.sk.

1.3

Capitalised terms used in these Terms have the following meanings:

Provider
the person specified in clause 1.2.
Customer
a business, in particular a dental laboratory or a dental technician, that has set up an Account and uses the Service in the course of its business activities.
User
a natural person with access to the Account in the role of owner, admin or staff member.
Guest
a natural person, usually a dentist or another client of the Customer, to whom the Customer has granted free read-only access to orders, or only to the orders of a single dentist.
Account (company)
the Customer’s separate environment within the Service, created upon registration and containing the data of the Customer, its Users and Guests.
Service
the ZVYQ cloud system for dental laboratories accessible through a web browser (software as a service), which in particular enables the recording of orders including the patient’s name and the type of dental work, the recording of dentists, practices, technicians, products and the price list, customers and order statuses, the import of project files from CAD programs (for example .dentalProject), a link for the patient to track the status of an order, and the issuing of invoices through the Customer’s account in the EasyFaktúry system.
Contract
the contract for the provision of the Service between the Provider and the Customer, of which these Terms form part.
Price List
the current price list of the Service published on the Service’s website.
GDPR
Regulation (EU) 2016/679 of the European Parliament and of the Council (General Data Protection Regulation).

1.4The Service is intended exclusively for businesses. The Contract is a commercial obligation relationship within the meaning of Section 261(1) of Act No. 513/1991 Coll., the Commercial Code of the Slovak Republic (Obchodný zákonník; the “Commercial Code”).

1.5Arrangements in an individual written contract between the Provider and the Customer take precedence over these Terms.

2Conclusion of the Contract

2.1The Contract is formed by registering in the ZVYQ app. When registering, the person provides their name, e-mail address, password and company name and, by ticking a checkbox, confirms that they have read and agree to these Terms. The Contract is concluded when the registration is submitted.

2.2The person who completes the registration confirms that they are authorised to act on behalf of the Customer and to conclude the Contract on its behalf. If they do not have such authority, they are liable to the Provider for any damage the Provider suffers as a result.

2.3Each registration creates a separate Account. The person who registered the Account becomes a User in the role of owner.

2.4The Customer confirms its e-mail address by clicking on the link sent to it by the Provider. The link is valid for 48 hours.

2.5The Customer provides true and complete information and, without undue delay, updates any changes in the Account or notifies them to the Provider.

2.6The Contract is concluded in the Slovak language.

3Free trial

3.1Each newly created Account may use the Service free of charge for 14 days from its creation (the “free trial”).

3.2During the free trial, the Customer may terminate the Contract at any time in accordance with clause 10.2 without any charges.

3.3After the free trial ends, the Customer may continue to use the Service in full after paying the subscription in accordance with Article 4. Without payment, the Account is available in read-only mode after the free trial ends; data entered during the free trial is retained in accordance with clause 4.5.

4Price and payment terms

4.1After the free trial ends, the Customer pays for the Service a subscription according to the selected plan and period (monthly or annually) in accordance with the Price List valid on the day of payment, or according to an individually agreed price. The plans differ in the maximum number of Users; Guests are not counted towards this number and their access is free of charge.

4.2If the Provider is a VAT payer, VAT at the statutory rate is added to the price, unless the Price List states otherwise.

4.3The subscription is paid in advance for the selected period through the Provider’s payment gateway (payment.easytrade.sk), by payment card or by bank transfer (QR payment), using the methods currently offered by the gateway. When paying by card, the Customer enters the card details directly on the website of Tatra banka, a. s.; the Provider does not store them. The subscription is activated once the payment has been credited. The Provider issues an invoice after receiving the payment and sends it by e-mail to the owner of the Account; it is also available in the Account. If the Provider offers a recurring subscription and the Customer selects it, the Provider sends the Customer a request for payment for the next period before the end of the paid period.

4.4If the subscription for the next period is not paid, the Account is available in read-only mode after the end of the paid period until the Customer pays the subscription. The same applies if the Customer fails to pay an invoice issued for payment by bank transfer by its due date. The restriction of access does not affect the obligation to pay the amounts due.

4.5During the restriction of access, the data in the Account is retained for at least 60 days and the Customer may request its export within this period. If the Customer fails to pay the amount due within 60 days of the restriction of access, the Provider may withdraw from the Contract and delete the data in the Account.

4.6The Provider may change the Price List. The Provider notifies the Customer of a price change by e-mail at least 30 days before it takes effect. The new price applies from the first billing period beginning after the change takes effect. If the Customer does not agree with the change, it may terminate the Contract in accordance with clause 10.2.

4.7If the Customer terminates the Contract before the end of the paid period, the subscription paid is not refunded and the Service remains available until the end of that period.

4.8The Customer may change the plan at any time in the Account (Settings → Subscription). A higher plan applies after payment of a pro rata surcharge for the remainder of the paid period; a lower plan applies from the following period, provided that the number of Users does not exceed its limit. With annual payment, the period is extended by 12 months at the price stated in the Price List.

5Rights and obligations of the Provider

5.1The Provider provides the Service with professional care and makes reasonable efforts to keep it available continuously. The Provider does not guarantee continuous and error-free availability; unless individually agreed otherwise, availability is not a binding parameter of the Service.

5.2The Provider carries out scheduled maintenance outside normal working hours where possible. The Provider notifies the Customer in advance by e-mail of any downtime that will substantially restrict the use of the Service.

5.3The Provider regularly backs up the data in the Service and takes security measures in accordance with clause 8.8.

5.4The Provider provides the Customer with support by e-mail at zvyq@easytrade.sk.

5.5The Provider may further develop the Service and change its features, provided that this does not substantially impair its core features.

5.6The Provider may temporarily restrict access to the Account or part of it where this is necessary to protect the security of the Service or of data, in particular where there is a suspicion of misuse of login credentials. The Provider informs the Customer of the reason for the restriction without undue delay.

6Rights and obligations of the Customer

6.1For the duration of the Contract, the Customer has a non-exclusive and non-transferable right to use the Service for its business activities.

6.2The Customer and its Users protect their login credentials against misuse, do not share them with other persons, and each person uses their own access. The Customer notifies the Provider of any suspected misuse of the Account without undue delay. The Provider recommends enabling two-factor sign-in.

6.3The Customer is responsible for the accuracy, completeness and lawfulness of the data that it or its Users enter into the Service, including data taken over by importing .dentalProject files, and for having a legal basis for processing such data.

6.4

The Customer must not use the Service in breach of legal regulations or these Terms. In particular, the Customer must not:

  1. circumvent or interfere with the security of the Service or attempt to access the data of other customers,
  2. interfere with the technical operation of the Service or place an excessive load on it,
  3. make the Service available to third parties other than by inviting Users and Guests to its Account.

6.5The Customer is responsible for the Users and Guests it invites to the Account as if it were acting itself. The Customer assigns their roles and scope of access and, without undue delay, removes access from persons who should no longer have it. The Customer informs the invited persons that the Provider processes their name and e-mail address in connection with their access.

6.6If the Customer connects its account in the EasyFaktúry system to the Service, it is responsible for the API key entered and for the content of the invoices it issues through the Service. The use of the EasyFaktúry system is governed by its own terms. The Service sends to it only the data that the Customer selects for invoicing. The Provider stores the API key in encrypted form. If misuse of the key is suspected, the Customer revokes it in the EasyFaktúry system without delay.

7Liability

7.1The Provider is liable for damage caused by a breach of its obligations under the Contract in accordance with Sections 373 et seq. of the Commercial Code to the extent set out in this Article.

7.2In accordance with Section 379 of the Commercial Code, the contracting parties have agreed that the damage which the Provider could have foreseen at the time of conclusion of the Contract as a possible consequence of a breach of its obligations does not exceed the total amount paid by the Customer to the Provider for the Service in the 12 months preceding the event that caused the damage. This limitation does not apply to damage caused intentionally.

7.3Loss of profit and indirect or consequential damage, in particular loss of orders, business opportunities or goodwill, are not considered foreseeable damage.

7.4

The Provider is not liable for:

  1. the content and accuracy of data entered into the Service by the Customer, its Users or Guests, including data taken over by import,
  2. the operation, availability and changes of third-party services, in particular banks and payment service providers, or for the processing of data by such entities,
  3. damage caused by misuse of the Customer’s login credentials or API keys that did not result from a breach of the Provider’s obligations,
  4. interruption of the Service caused by circumstances excluding liability under Section 374 of the Commercial Code, for example a power or internet connection outage beyond the Provider’s control.

7.5The Customer notifies the Provider of defects in the Service by e-mail without undue delay. The Provider remedies them within a reasonable period.

8Processing of personal data on behalf of the Customer

8.1With regard to personal data that the Customer, its Users and Guests enter into the Service, the Customer is the controller and the Provider is the processor within the meaning of the GDPR. This Article constitutes a data processing agreement pursuant to Article 28(3) GDPR. Processing for which the Provider is the controller (for example, Users’ data required for signing in) is governed by the Privacy Policy.

8.2Subject matter and duration. The subject matter is the processing of personal data in the provision of the Service. The processing lasts for the duration of the Contract and until the data is deleted in accordance with Article 11.

8.3Nature and purpose. The Provider stores, organises, retrieves and backs up the data, makes it available to authorised persons in the Account, sends it on the Customer’s instruction to the Customer’s invoicing system, makes the order status available to the patient via a link created by the Customer, and deletes it, solely for the purpose of providing the Service to the Customer.

8.4Data subjects. Patients, dentists and practice staff, employees and contractors of the Customer (for example technicians), and the Customer’s clients and their contact persons.

8.5Categories of data. Identification and contact details of dentists, practices, clients and their contact persons, billing details, the patient’s name and details of the ordered dental work, and data of Users and Guests. Details of dental work linked to a patient’s name may constitute data concerning health, i.e. a special category of personal data under Article 9 GDPR. The Customer is responsible for having a legal basis and an exemption under Article 9(2) GDPR for processing such data, and enters into the Service only the patient data necessary for producing and recording the work.

8.6Instructions. The Provider processes personal data only on documented instructions from the Customer. The instructions consist of the Contract including these Terms, the settings and actions that the Customer and its Users perform in the Service, and instructions sent by e-mail. Where processing is required by Union law or the law of the Slovak Republic, the Provider informs the Customer of that legal requirement before processing, unless that law prohibits such information. If, in the Provider’s opinion, an instruction infringes the GDPR or other data protection provisions, the Provider immediately informs the Customer. The Provider does not use the Customer’s data for its own purposes. A support request from the Customer or its User is also an instruction: to resolve it, an authorised person of the Provider may temporarily, for a maximum of 60 minutes, access the Account on behalf of a specific User. During such access, that person cannot change the password or the account security settings; each access is logged (who, when, for how long) and the Customer may request a log extract.

8.7Confidentiality. The Provider ensures that persons authorised to process the personal data have committed themselves to confidentiality or are under a statutory obligation of confidentiality.

8.8

Security. The Provider implements technical and organisational measures in accordance with Article 32 GDPR, in particular:

  • encrypted communication via HTTPS,
  • storing passwords only in hashed form,
  • encrypted storage of API keys for invoicing systems,
  • access to data only for Users and Guests of the relevant Account according to their roles,
  • two-factor sign-in with a code sent by e-mail, enabled by default for every new account,
  • regular encrypted backups (daily; backups are kept for a maximum of 6 months),
  • operation and storage of backups in data centres in the European Union.

8.9Sub-processors. The Customer grants the Provider a general authorisation to engage sub-processors. At present, the sub-processor is Hetzner Online GmbH, Industriestr. 25, 91710 Gunzenhausen, Germany – a provider of hosting, a mail server and backups with data centres in Germany and Finland. The Provider informs the Customer by e-mail at least 14 days in advance of any intended addition or replacement of a sub-processor. The Customer may object to the change within this period; if the parties do not reach agreement, the Customer may terminate the Contract with effect from the date of the change. The Provider imposes on sub-processors by contract the same data protection obligations as those set out in this Article and is liable to the Customer for their performance.

8.10The EasyFaktúry system is not a sub-processor within the meaning of clause 8.9. The Customer uses it under its own terms, and sending data to it constitutes an instruction of the Customer.

8.11Assistance. Taking into account the nature of the processing, the Provider assists the Customer by appropriate technical and organisational measures in fulfilling its obligation to respond to requests from data subjects under Articles 12 to 23 GDPR and its obligations under Articles 32 to 36 GDPR. The Provider forwards to the Customer without undue delay any request from a data subject that it receives directly.

8.12Personal data breach. The Provider notifies the Customer of a personal data breach without undue delay, and no later than 48 hours after becoming aware of it. The notification contains the information referred to in Article 33(3) GDPR to the extent known at that time; the Provider supplements further information without undue delay.

8.13End of processing. After the end of the provision of the Service, the Provider, at the Customer’s choice, returns the data (export) or deletes it in accordance with Article 11, unless Union law or the law of the Slovak Republic requires its further storage.

8.14Information and audits. The Provider makes available to the Customer the information necessary to demonstrate compliance with the obligations under Article 28 GDPR and allows for audits, including inspections, conducted by the Customer or by an auditor mandated by the Customer who is bound by confidentiality. The Customer announces an audit reasonably in advance and conducts it in such a way that it does not disrupt the operation of the Service or the confidentiality of other customers’ data.

8.15The Provider does not transfer the Customer’s personal data outside the European Economic Area.

9Confidentiality

9.1The contracting parties keep confidential any confidential information of the other party that they have learned in connection with the Contract and use it only for the performance of the Contract. Confidential information includes in particular the data in the Customer’s Account, individually agreed commercial terms and information about the security of the Service.

9.2The confidentiality obligation does not apply to information that is publicly known without a breach of this obligation, to cases where its disclosure is required by a legal regulation or a decision of a public authority, or to its disclosure to advisers bound by a statutory duty of confidentiality.

9.3The confidentiality obligation survives the termination of the Contract.

10Term and termination of the Contract

10.1The Contract is concluded for an indefinite period.

10.2The Customer may terminate the Contract at any time by e-mail sent to zvyq@easytrade.sk from the Account owner’s address; if the Customer has a recurring subscription, it may also cancel it in the app (Settings → Subscription). After termination or cancellation, no further payments are requested and the Service remains fully available until the end of the paid period; thereafter, the Account is available in read-only mode in accordance with clause 4.5. During the free trial, the termination takes effect on the day it is delivered.

10.3The Provider may terminate the Contract without stating a reason by giving 30 days’ notice, which begins on the day the notice of termination is delivered to the Customer by e-mail. The Provider refunds any subscription paid for the period after the termination of the Contract.

10.4

The Provider may withdraw from the Contract with effect from the day the notice of withdrawal is delivered if the Customer materially breaches the Contract, in particular if the Customer:

  1. fails to pay the amount due even within the period under clause 4.5,
  2. uses the Service in breach of legal regulations or of clause 6.4,
  3. endangers the security of the Service or the data of other customers.

10.5Upon termination of the Contract, the access of all Users and Guests to the Account ceases. The handling of data is governed by Article 11.

11Data after termination of the Contract

11.1After the termination of the Contract, the Provider retains the data in the Account for a further 60 days. Within this period, the Customer may request by e-mail an export of the data in a commonly used, machine-readable format. If the Contract ended by withdrawal for non-payment under clause 4.5, the period runs from the restriction of access.

11.2After this period expires, the Provider irreversibly deletes the data from the active database. The data may remain in backups for a maximum of 6 months until they are automatically overwritten; during this time, it is not further processed or restored. Should it be necessary to restore the Service from a backup, the Provider deletes the previously deleted data again.

11.3The Provider retains only the data it is required to keep under legal regulations, in particular invoices issued to the Customer for the Service (Slovak Act No. 431/2002 Coll. on Accounting).

11.4Invoices that the Customer issued in the EasyFaktúry system through the Service remain in its account in that system. The deletion of data in the Service does not affect them.

12Changes to the Terms

12.1The Provider may amend these Terms, in particular in the event of a change to the Service, to legal regulations or to the conditions under which the Service is provided.

12.2The Provider notifies the Customer of the change by e-mail to the Account owner’s address at least 30 days before it takes effect and publishes the new version on this page.

12.3If the Customer does not agree with the change, it may terminate the Contract before the change takes effect; until the termination of the Contract, the previous version of the Terms applies to the Customer. If the Customer does not terminate the Contract and continues to use the Service after the change has taken effect, the Customer is deemed to have agreed to the change.

13Final provisions

13.1The Contract and these Terms are governed by the laws of the Slovak Republic, in particular the Commercial Code.

13.2Disputes arising from the Contract are decided by the courts of the Slovak Republic having subject-matter and territorial jurisdiction.

13.3The contracting parties communicate electronically. The requirement of written form is also met by an e-mail sent to the Provider’s contact address or to the Account owner’s address.

13.4If any provision of these Terms is invalid or ineffective, the remaining provisions remain valid. The contracting parties will replace it with a provision that comes closest to its purpose.

13.5These Terms take effect on 21. 10. 2026.
